Shopexperts Terms & Conditions for Clients

The terms of service presented herein (“Terms”) govern your use of the Shopexperts website and services (collectively referred to as the “Site”). These Terms constitute a binding legal agreement (“Agreement”) between you (“Client”) and Swift Commerce Limited, operating under the business name “Shopexperts” (“we,” “us,” “our,” or the “Company”).

By accessing or using the Site located at https://shopexperts.com/ and any related sites operated by Shopexperts, its subsidiaries, or affiliated entities, you agree to comply with these Terms. If you do not agree with any of these Terms, please refrain from accessing or using the Site or services provided through it.

By applying for an account with us, or by utilizing and visiting our Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.



1. Our Services

1.1. Platform Overview

Shopexperts provides a platform where professionals specializing in web development, web design, marketing, content writing, and other professional services within the Shopify ecosystem (“Experts”) may offer their expertise to Shopify business owners (“Clients”) seeking website customization and related support.

Shopexperts facilitates connections between Clients and Experts, who operate independently as freelancers and through a subscription to the Shopexperts directory, providing updates to existing websites or other coding, consulting, or design services. While Shopexperts endeavors to maintain the quality and reliability of Experts listed on the platform, it is understood that Experts themselves bear full responsibility for the services they provide and the work they deliver to Clients.

For purposes of this Agreement:
Experts” refers to professionals, whether individuals or agencies, across various specialties (e.g., design, development, marketing, sales, content creation) who subscribe to Shopexperts and maintain a listing in the directory. Experts are independent service providers who engage directly with Clients (as per Clause 16 below).

Within the term “Services,” Shopexperts encompasses both the corporate entity and Experts engaged by Shopexperts to provide their expert services to Clients. It is important to note that any references to Shopexperts concerning the Services include both the corporate entity and its Experts, collectively delivering services to Clients.

1.2. Client Eligibility and Authority

As a condition of accessing or using the Shopexperts platform and services, you represent and warrant that:

  • You are at least eighteen (18) years of age.

  • You will provide accurate and complete information when registering for an account and will keep such information up to date.

  • Your use of the platform will comply with all applicable laws and regulations.

  • If you are procuring services on behalf of a company, you are an authorized agent with full authority to legally bind that company and to grant Shopexperts and/or matched Experts the necessary permissions to access and modify the company’s website.

  • You are not:

    • A citizen, resident, or physically located in any jurisdiction where participation in Shopexperts is prohibited by law, regulation, or administrative act;

    • Located in or ordinarily resident of any country or region subject to trade or economic sanctions imposed by Hong Kong SAR China, Canada, the United States, or other sovereign nations (including, without limitation, Iran, North Korea, Sudan, and Syria);

    • Listed on, or associated with any entity listed on, the U.S. Department of Commerce’s Denied Persons List or Entity List, the U.S. Department of the Treasury’s Specially Designated Nationals or Blocked Persons List, or the U.S. Department of State’s Debarred Parties List; or

    • Otherwise prohibited from receiving services under U.S. export control laws or other applicable sanctions regulations.

1.3. Client Representations and Warranties

Each Client further represents and warrants to Shopexperts that:

  • Their use of the platform, including engagement with Experts, will not violate any existing obligations (contractual, confidentiality, or otherwise).

  • They will not request, provide, or use trade secrets, proprietary information, or intellectual property without lawful rights.

  • Their engagement with Experts through Shopexperts will not infringe upon or violate the rights of any third party.


2. Accessing the Services and Communication

Clients may submit Projects and communicate with Experts through the chatroom provided on the Shopexperts platform, or by any other mutually convenient means of communication agreed upon between the Client and the Expert.

Shopexperts provides the platform as a communication and payment processing tool but is not a party to any Project and does not require Experts or Clients to conduct all communications or process payments exclusively through the platform.

Please note that former CarsonDash accounts are no longer accessible.


3. Website Security

By using our Services, Clients acknowledge and agree to provide Experts with access to their website through the Shopify Partners portal, granting Experts temporary access to complete their Project(s). Shopexperts itself will not have access to your website.

Experts are strictly prohibited from sharing access with anyone for purposes other than fulfilling your Project requirements. Clients are strongly advised to revoke access permissions from Experts once the Project is completed.

Clients are solely responsible for maintaining adequate security measures on their website at all times. Shopexperts shall not be liable for any loss or damage resulting from insufficient website security or other vulnerabilities.

Clients are also responsible for all activities that occur using their Shopexperts account credentials. Clients should not share their password or allow others to access it. If a Client becomes aware of unauthorized use of their Shopexperts account or any other breach of its security, they must notify Shopexperts immediately. Clients may be held liable for any consequences resulting from unauthorized use due to their own negligence.

Clients can modify, correct, or remove information from their account by logging in directly to their profile or contacting us at [email protected].


4. Backups

All Clients agree and acknowledge the importance of maintaining backups of their website theme. During the active phase of their Project with an Expert, Clients agree not to make alterations to the theme settings or code.

While Experts at Shopexperts endeavor to duplicate and preserve backups within each store’s themes panel, Clients are advised that deleting these backups is done at their own risk. It is imperative for Clients to retain Shopexperts’s backups to remain eligible for any fixes. Shopexperts cannot and will not be held liable for any data loss incurred by Clients who fail to adhere to this requirement.

Shopexperts recommends that all Experts notify Clients of the importance of maintaining and retaining backups during and after Project execution. However, Shopexperts cannot guarantee that all Experts will provide such notification and therefore assumes no responsibility for any failure by Experts to do so.


5. Project Submissions

5.1. Client Project Submissions

Clients may submit a request for website updates or other services (a “Project”) through the Shopexperts platform. By submitting a Project, the Client confirms that they have the authority to permit the assigned Expert to access the website and perform the requested services.

Following submission, the Project may be:

  • Assigned to an Expert by Shopexperts based on the Expert’s service category, location, and availability;

  • Proactively selected by an Expert from the pool of available Projects;

  • Requested with a specific Expert by the Client, in which case the Project is matched directly with that Expert; or

  • Requested with one preferred Expert plus additional Experts: the Client may choose one Expert and request the Shopexperts admin to share the Project with up to three additional Experts of their choice. All Experts may communicate with the Client, who then selects which Expert to proceed with.

5.2. Confidentiality of Projects

Unless expressly designated as private at the time of submission, all Projects are considered non-proprietary and non-confidential. Public Projects may include details such as a description of the work, cost, website URL, and company name.

Shopexperts typically does not disclose Project details. Clients requiring additional confidentiality measures may submit specific requests during Project submission. Such requests are reviewed on a case-by-case basis. Clients may also negotiate separate Non-Disclosure or Project Agreements directly with Experts, which Shopexperts is not a party to.


6. Expert Services

6.1. Service Listings

Experts may independently list their services, service packages, pricing, and special offers on the Shopexperts platform. Experts set their own rates (minimum USD $50 per hour) or fixed Project pricing, may offer express or priority delivery, and determine expected turnaround times. Experts are solely responsible for defining the duration and expiration of service packs, including any maintenance or support hours.

The scope of each Project, including estimated hours or deliverables, is determined at the discretion of the assigned Expert.

6.2. Notifications and Client Responsibility

Experts may provide details about pricing, validity, turnaround times, or service conditions proactively. Shopexperts does not guarantee that Experts will notify Clients of all such details. Clients are encouraged to contact Experts directly for clarification before purchasing a Project.

6.3. Adjustments to Project Fees

While Experts strive to provide accurate fee quotes, additional information discovered after accessing a Client’s website or additional Project requests may require adjustments to the original quote, potentially increasing the estimated price. Experts will promptly notify Clients of any fee changes.

If the Client declines to pay the adjusted fee, the Expert may, at their discretion:

  • Complete only the portions of the Project that fit within the original fee quote;

  • Cancel the Project, refund any monies paid, and, if applicable, roll back any work completed; or

  • For Projects processed via Shopexperts, reassign the Project to another available Expert willing to take over. 

For Projects processed outside the Shopexperts platform, see Section 6.6. below.

6.4. Expert Withdrawal and Payment Policy

For Projects processed through Shopexperts, payments are released to Experts once the Client approves the deliverables and marks the Project as “Completed” on the Shopexperts Dashboard. Experts may request withdrawal immediately after approval.

For Projects remaining in “Ongoing” or uncompleted status, Shopexperts will release payment no later than 90 days from the original payment date. Experts remain responsible for fulfilling any commitments extending beyond this period, and the Client explicitly agrees that Shopexperts is no party to such commitments.

6.5. Payment Processing on Behalf of Experts

By using the Site, Clients expressly authorize Shopexperts to charge all applicable fees, taxes, and other charges on behalf of Experts incurred in connection with the Client’s use of the platform. Fees will be charged to the Client’s credit card, PayPal, or other payment method on file. Shopexperts reserves the right to charge any outstanding balance to the Client’s payment method.

6.6. Off-Platform Projects

Clients may choose to arrange and pay for Projects directly with Experts outside the Shopexperts platform.

For such off-platform Projects:

  • Shopexperts is not a party to these arrangements.

  • Shopexperts does not hold funds on behalf of Experts and, therefore, does not control the success of any Project through financial leverage.

  • Any adjustments, cancellations, refunds, or reassignments must be handled solely between the Client and the Expert.

  • Shopexperts assumes no liability for any disputes, losses, or damages arising from off-platform Projects.


7. Refunds

Note: This Refunds section applies only to Projects paid through the Shopexperts platform. For Projects arranged and paid outside Shopexperts, see section 6.6 above. 

7.1. For Individual Store Owners

  • As a general rule, refunds cannot be granted once work on the Project has been completed.

  • Notwithstanding the above, the Client and Expert may negotiate a refund if the Client is not satisfied with the interim or final result and the Project status has not been changed to “Completed” by the Client. Any decision regarding such a refund is entirely at the discretion of the Expert, and Shopexperts is not a party to these negotiations.

  • Shopexperts applies a 10% refund fee on the Expert based on the Project cost to cover payment processing fees and administrative time lost in the event of a refund. This may affect the Expert’s decision on whether to issue a full or partial refund.

  • All discussions regarding refunds under these circumstances are solely between the Expert and the Client, and Shopexperts has no control or involvement in the process.

7.2. For Agencies

  • Shopexperts provides services to agencies under the expectation that agencies possess the necessary expertise to act as intermediaries, facilitating communication with non-technical clients.

  • Refunds will not be granted to agencies.

  • Agencies engaging with Shopexperts services on behalf of their clients must ensure that they fully understand their clients’ requirements, have discussed them with the relevant Experts, and have confirmed that the desired result is achievable within the scope of the service before making payment, as such payments are non-refundable.

8. Escalations and Reassignments

If the communication or interim results of a Project do not meet your expectations, you may request reassignment to another Expert.

Reassignment can be facilitated either by coordinating with the current Expert or by contacting Shopexperts support at [email protected].

Shopexperts’ role is limited to assessing whether reassignment to another Expert from the platform is feasible. Shopexperts does not conduct a full investigation or determine fault, responsibility, or refunds.

If feasible, Shopexperts will assist in facilitating the transfer of the Project to another available Expert.

While we aim to protect Clients from unfavorable outcomes, we also seek to maintain a fair and secure platform for Experts, who undergo a thorough screening process before joining.


9. Electronic Communications

By using the Site and/or Services, Clients consent to receive electronic communications from Shopexperts. These may include notices regarding fees, transactions, account activity, and other service-related matters. Such communications are considered legally equivalent to written communication.

Shopexperts has access only to electronic communications related to projects conducted through its platform and may monitor or manage such communications to ensure proper operation of the Services. Shopexperts does not have access to, nor does it monitor or control, any communications between Clients and Experts (or any parties related to them) that occur outside of the Shopexperts platform, including but not limited to those made via email, phone, messaging applications, or any other medium. Any such external communications are solely between the Client and the Expert, and Shopexperts does not guarantee their accuracy, timeliness, or content.

10. Third-Party Sites

The Site may include links to third-party sites and/or pages that enable Clients to interact with or conduct transactions on such third-party sites. This includes, but is not limited to, Experts’ websites and any other sites linked to by Experts during the course of a Project.

If a Client chooses to access any third-party sites, they do so at their own risk. Shopexperts does not verify, make representations, or assume responsibility for such third-party sites, including, but not limited to, the accuracy, quality, or completeness of the content, services, links, or other activities conducted on or through such sites.

These Terms do not govern a Client’s interaction with or use of any third-party sites.


11. Submissions

11.1. Responsibility for Submissions

As a Client on the Shopexperts platform, you acknowledge and agree that you bear full responsibility for all information, opinions, messages, comments, photos, videos, graphics, sounds, software, and any other content or material that you, either directly or through a third party associated with your account, submit, upload, post, or otherwise make available on or through the Shopexperts platform (each a “Submission”). You understand that you, and not Shopexperts, are entirely responsible for each such Submission, including its legality, reliability, appropriateness, and ownership of all associated intellectual property rights, including copyrights and trademarks. It is your sole responsibility to determine whether any material is protected by such rights or is otherwise illegal or inappropriate.

11.2. Liability for Submissions

You shall be solely liable for any damage, loss, or claim arising from any infringement of copyrights, trademarks, proprietary rights, or any other harm resulting from any Submission made available on or through your website or in connection with a Project. You expressly acknowledge that you are fully responsible for any Submission that you make, or cause to be made, available on or through your website in connection with any Project.


12. Intellectual Property Rights

12.1. License to Use Submissions

Unless the Client explicitly notifies the Company in writing that certain materials shall not be used for promotional or marketing purposes, the Company may use information and materials related to Projects carried out through the Shopexperts Platform — including, without limitation, project descriptions, anonymized data, results, feedback, visuals, or other non-confidential content shared or generated in connection with the Project — for case studies, portfolio showcases, promotional materials, or other marketing purposes.
The Company will use reasonable efforts to inform and obtain confirmation from the Client prior to publishing or otherwise using such materials in any promotional or marketing context.

12.2. Ownership of Work and Company IP

  • Any work or deliverables created by Experts for a Client in the course of a Project shall belong exclusively to that Client.

  • All rights, title, and goodwill in the Shopexperts platform, including its technology, content, policies, and related materials, remain the property of the Company.

  • Any comments, suggestions, or feedback provided by the Client regarding the Company’s products, services, features, or platform that the Company develops into work products shall also remain the exclusive property of the Company.

  • The Client shall not claim any ownership or rights over the Company’s Intellectual Property and shall indemnify the Company for any loss, damage, expense, or liability arising from misuse or infringement of such Intellectual Property.

12.3. Trademarks and Copyrights

Shopexperts™ is a registered trademark, and any other trademarks, names, and logos displayed on the Site are the property of their respective owners. All information, documents, services, site design, text, graphics, logos, images, and icons on the Site, including their arrangement, are the exclusive intellectual property of Shopexperts, with all rights reserved. Any distribution, modification, retransmission, or publication of copyrighted material owned by Shopexperts without explicit permission is strictly prohibited.


13. General Use Restrictions

13.1. Site Materials

Shopexperts provides content and Services through the Site. The information, documents, products, and services available on or through this Site, including but not limited to content, logos, graphics, and images (collectively referred to as the “Site Materials”) that are not Submissions (as defined in Clause 11), are copyrighted and/or trademarked works of Shopexperts or its contributors.

13.2. License

You are granted a limited, personal, non-exclusive, non-transferable, and non-assignable license to use and display the Site Materials, and to use the Services and this Site, in accordance with these Terms. Except for the license expressly granted above, you acknowledge and agree that you have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance, distribute, or otherwise exploit any of the Site Materials in any manner.

13.3. Termination of License

This limited license automatically terminates without notice if you breach any of these Terms. Upon termination of this license, you agree to immediately cease all use of, and destroy any downloaded or printed copies of, the Site Materials. Except as expressly stated herein, you acknowledge that you have no right, title, or interest in or to the Site or any Site Materials.

13.4. Cooperation with Authorities

Shopexperts may report any illegal actions to law enforcement authorities or cooperate with such authorities in any investigation of alleged illegal activity on the Site or elsewhere on the Internet, as required by law or at Shopexperts’ discretion.


14. Prohibited Use

14.1. Client Obligations

In using the Site and/or Services, Clients agree to abide by the following conditions:

  • Refrain from defaming, abusing, harassing, stalking, threatening, or violating the legal rights of others;

  • Avoid using racially, ethnically, or otherwise offensive language;

  • Do not discuss or incite illegal activities;

  • Abstain from using explicit or obscene language or posting sexually explicit images;

  • Do not post content that exploits children or minors or depicts cruelty to animals;

  • Obtain express permission from the owner before posting any copyrighted or trademarked materials;

  • Do not disseminate unsolicited or unauthorized advertising, promotional materials, spam, or other forms of solicitation;

  • Refrain from using automated means to access the Site;

  • Do not take actions that impose an unreasonable or disproportionately large load on our infrastructure;

  • Avoid altering the opinions or comments posted by others on the Site;

  • Refrain from taking any action that may harm, damage, disrupt, or overburden the Site, interfere with any other Client’s or Expert’s use of the Site, or violate these Terms.

14.2. Enforcement

The above list is illustrative and not exhaustive. Shopexperts reserves the right to suspend or terminate any Client account, and suspend access to the Platform, for engaging in unlawful or prohibited activity, or for any conduct deemed inappropriate or disruptive by Shopexperts, with or without notice.


15. No Relationship

These Terms do not create any relationship of agency, partnership, joint venture, or employment between the Client and Shopexperts, or between the Client and any Expert. Neither the Client nor Shopexperts, nor any Expert, has the authority to act on behalf of or bind the other in any way.


16. Disclaimer of Warranties

16.1. Accuracy of Materials

Shopexperts does not verify or authenticate the Site Materials, Submissions, or any Project information, which may contain inaccuracies, typographical errors, or other mistakes. Shopexperts does not guarantee the accuracy or timeliness of the Site Materials or Submissions, and bears no liability for any errors or omissions, whether provided by Shopexperts or its licensors.

16.2. No Warranty

Shopexperts, its subsidiaries, affiliates, licensors, agents, representatives, third-party service providers, and their respective officers, directors, owners, employees, agents, partners, contractors, representatives, successors, and assignees make no express, implied, or statutory representations, warranties, or guarantees regarding the quality, suitability, truth, accuracy, or completeness of any information or material on this Site.

Unless explicitly stated otherwise, to the maximum extent permitted by law, the Site, the Services, Site Materials, Submissions, and any information or material presented here are provided "as is," "as available," and "where-is," without warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights. Shopexperts does not warrant against viruses, spyware, or malware that may be installed on your computer.

17. Limitation of Liability

Clients acknowledge and agree that their use of the Site, the Platform, and the Community is at their own risk. Shopexperts, its subsidiaries, affiliates, licensors, agents, representatives, third-party service providers, and their respective officers, directors, owners, employees, agents, partners, contractors, representatives, successors, and assignees shall not be held liable for any loss or damage resulting from the Client’s failure to maintain adequate account security or any other vulnerabilities, including, but not limited to, unauthorized access, data breaches, or malicious attacks.



18. Indemnification


The Client shall, at all times during and after the termination of these Terms, indemnify, defend, and hold harmless Shopexperts, its subsidiaries, affiliates, successors, licensees, and assignees from and against any and all losses, liabilities, damages, claims, costs, and expenses (including reasonable legal fees and expenses) incurred or suffered by Shopexperts, to the extent arising directly or indirectly out of or in connection with any third-party claims relating to the Client’s use of the Services or Submissions provided through the Platform, including, but not limited to, claims of negligence, breach of contract, violation of applicable laws, infringement of intellectual property rights of any third party, or unauthorized disclosure of confidential information.


This indemnification obligation shall survive the termination or expiration of these Terms.



19. Jurisdictional Disclaimer



Shopexperts makes no representation or warranty that the Site, its contents, or the Services are appropriate, lawful, or available for use in any particular jurisdiction. Accessing the Site from jurisdictions where its contents or Services are illegal or prohibited is done at the Client’s own risk. Clients are solely responsible for ensuring compliance with all applicable federal, state, local, and international laws, regulations, and rules when using the Site and/or Services.



20. Site Availability, Features, and Limitation of Liability


Shopexperts does not guarantee uninterrupted, continuous, or secure access to the Site or its Services. Parts of the Site may become unavailable at any time for any reason, including system malfunctions, technical disruptions, internet service provider issues, or events beyond our control. Shopexperts is not responsible for any interruptions, delays, or inability to access the Site or Services and shall not be liable for any damages or losses resulting from such occurrences.


Shopexperts continually develops, improves, and implements new features and functionalities for the Site. These features may not be available immediately or at any given time, as they may still be under development, testing, or subject to delays. Shopexperts makes no guarantee regarding the availability or performance of any specific feature.


Clients acknowledge and agree that use of the Site is at their own risk. Shopexperts shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from inability to access or use the Site or any of its features, regardless of cause. Shopexperts reserves the right to take any portion of the Site offline at any time, for any reason, including maintenance, upgrades, modifications, or operational purposes, without prior notice.



21. Feedback

If a Client submits communications, comments, questions, suggestions, or related materials to Shopexperts (collectively, “Feedback”) recommending changes or improvements to the Site, Services, or Site Materials, such Feedback will be deemed non-confidential and non-proprietary.

By providing Feedback, the Client grants Shopexperts a perpetual, irrevocable, worldwide, royalty-free, fully transferable, and sublicensable right and license to use, reproduce, modify, adapt, create derivative works from, distribute, and otherwise exploit the Feedback in any manner for any purpose, without any obligation to compensate or provide attribution to the Client. This includes, but is not limited to, the development, licensing, marketing, and sale of products and services that incorporate or are based on such Feedback.

Clients acknowledge that Shopexperts is under no obligation to review, use, display, reproduce, or distribute any Feedback and that Clients have no right to compel its use or impose restrictions on Shopexperts’ use of Feedback.


22. Termination

22.1. Suspension or Termination

Shopexperts may suspend or terminate your access to the Site or Services at any time, with or without prior notice, if you breach these Terms. While Shopexperts may choose to provide notice or recommend corrective actions, certain violations may result in immediate termination.

22.2. Projects in Progress

If a Project that was paid through the Shopexperts platform is ongoing or not yet completed at the time of termination, Shopexperts may consult with the assigned Expert to determine whether they wish to:

  • Continue the Project outside the Shopexperts platform and receive payment through Shopexperts upon completion; or

  • Refund the Project and cease further work with the Client.

This process applies only to Projects paid through Shopexperts. For any Projects paid or managed outside the platform see section 6.6 above.

22.3. Survival

Provisions relating to intellectual property, disclaimer of warranties, limitation of liability, indemnities, governing law, and dispute resolution shall survive the termination of these Terms.



23. Severability and Right to Modify


If any provision of this Agreement, or part thereof, is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision or part shall be modified to the minimum extent necessary to render it valid, legal, and enforceable. If modification is not possible, the relevant provision or part shall be deemed severed from this Agreement. Such modification or severance shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.


Shopexperts reserves the right to modify or amend these Terms at any time, with or without notice. Continued use of the Site or Services after any modifications constitutes acceptance of the revised Terms.

24. Governing Law and Dispute Resolution


24.1. Governing Law

These Terms, and any dispute or claim arising out of or in connection with their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of law principles.



24.2. Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms, including but not limited to disputes regarding the validity, scope, or enforceability of this arbitration provision ("Disputes"), shall be finally settled by binding arbitration in accordance with the rules of the Hong Kong International Arbitration Centre (HKIAC). Arbitration will be conducted in Hong Kong, and the language of the arbitration will be English. All Disputes shall be arbitrated on an individual basis, and no Dispute shall be consolidated with the claims or controversies of any other party. The decision of the arbitrator shall be final and binding, and judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may seek interim or preliminary relief from a court of competent jurisdiction in Hong Kong to protect their rights or property pending the completion of arbitration.


24.3. Exceptions to Arbitration

Notwithstanding Clause 24.2, either you or Shopexperts may choose to resolve a Dispute in court rather than through arbitration if: (i) the Dispute qualifies for adjudication in the Small Claims Tribunal; or (ii) you opt-out of arbitration within thirty (30) days of agreeing to these Terms ("Opt-Out Deadline"). To opt-out, you must send a written notice that includes (i) your name, (ii) your address, and (iii) a clear statement that you do not wish to resolve disputes with Shopexperts through arbitration. This opt-out notice must be sent to Swift Commerce Limited, 2A, 17/F, Glenealy Tower, No. 1 Glenealy, Central, Hong Kong. Opting out will not affect your relationship with Shopexperts. Any opt-out request received after the Opt-Out Deadline will be invalid, and you must pursue the Dispute in arbitration (or in the Small Claims Tribunal, if applicable).



24.4. Notice of Dispute

Before initiating arbitration or a legal proceeding, you must provide Shopexperts with an opportunity to resolve the Dispute by sending written notice to Swift Commerce Limited, 2A, 17/F, Glenealy Tower, No. 1 Glenealy, Central, Hong Kong. The notice must include (i) your name, (ii) your address, (iii) a description of your claim, and (iv) the specific relief you are seeking. Shopexperts will have forty-five (45) business days from receipt of the written notice to resolve the Dispute. If the Dispute is not resolved within that time, you may pursue it as outlined in this Clause 24.



24.5. Time Limit on Claims

To the fullest extent permitted by law, you and Shopexperts agree that any claim or cause of action arising out of or in connection with your use of the Site, the Services, or any Site Materials must be commenced within one (1) year after the cause of action accrues. Otherwise, such claim or cause of action is permanently barred.



24.6. Definitions

For purposes of this Clause 24, "Shopexperts" refers to Shopexperts as a corporate entity and its parent, subsidiary, and affiliate companies, as well as their respective officers, directors, employees, and agents.


25. Entire Agreement


These Terms, together with the Privacy Policy, constitute the entire Agreement between you and Shopexperts regarding the use of the Site and the Services, and supersede all prior or contemporaneous understandings, agreements, representations, or communications, whether written or oral, relating to the subject matter of this Agreement.


By using the Site or the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. No oral or written information or advice given by Shopexperts, or its agents or employees, shall create a warranty or in any way increase the scope of the obligations under these Terms unless explicitly set forth herein.
